Terms and Conditions for Neaore Inc.

These Terms and Conditions (“Agreement”) govern your access to and use of Neaore (“App”), provided by Neaore Inc. (“we,” “us,” “our”). By accessing or using our App, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use our App.
1.Acceptance of Terms
By downloading, accessing, or using the App, you agree to these Terms and Conditions, our Privacy Policy, and any other applicable policies or guidelines. If you are using the App on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
2.Eligibility
You must be at least 13 years of age (or the equivalent minimum age in your jurisdiction) to use our App. By using the App, you confirm that you meet this age requirement. If you are under the required age, you are not permitted to use the App. If you are a parent or guardian of a minor, you acknowledge that you are responsible for supervising their use of the App.
3.Account Registration
To use certain features of the App, you may need to create an account. When registering, you agree to provide accurate and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You may not use false identities, impersonate any person, or mislead others about your identity.

4.User Content
You are responsible for all content you upload, share, or post on the App (“User Content”), including text, images, videos, and other media. By uploading or posting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, modify, and distribute the content in connection with the operation of the App.
- You retain ownership of your User Content, but you grant us the rights to display and distribute it to other users.
- You agree not to upload, post, or share content that is illegal, defamatory, offensive, or infringes on the intellectual property rights of others.
5.Prohibited Conduct
You agree not to engage in any of the following activities:
- Violating any applicable local, state, national, or international law.
- Harassing, abusing, or harming other users or individuals.
- Posting, sharing, or distributing harmful, illegal, or offensive content (e.g., hate speech, explicit material).
- Using the App for fraudulent or unlawful purposes.
- Interfering with or disrupting the App’s functionality or security.
- Using any automated systems, bots, or scrapers to access or extract data from the App.
- Attempting to gain unauthorized access to any user accounts or systems.
6.App Usage and License
We grant you a limited, non-exclusive, non-transferable license to download, install, and use the App on a compatible device solely for personal and non-commercial purposes. You may not:
- Reverse engineer, decompile, or disassemble the App.
- Modify, adapt, or create derivative works based on the App.
- Rent, lease, or sublicense the App.
We reserve the right to terminate or suspend your access to the App if you violate any of these terms.
7.Restaurant (Deals and Promotions)
The App provides information on deals and discounts offered by participating restaurants (“Restaurant Deals”). We do not directly offer or control the restaurant deals themselves, and the deals are subject to change or cancellation by the restaurants without prior notice.
- Accuracy of Deals: We strive to ensure the accuracy of the information provided, but we cannot guarantee that all deals are current, accurate, or available at the time you attempt to use them.
- Terms of Deals: Each deal or promotion may have its own terms and conditions, such as expiration dates, minimum purchase requirements, or geographic restrictions. It is your responsibility to review the specific terms for each deal before using it.
- Availability: Restaurants have the right to modify or withdraw their deals at any time without notice. We are not liable for any deals that are no longer valid or accessible.
8.Agora (Deals and Promotions)
Seller Responsibilities
Sellers must comply with all applicable laws and provide accurate descriptions of products or services listed on Agora.
Neaore reserves the right to remove any listing that violates these Terms or is deemed inappropriate.
9.Event (Listings and Information)
The App provides information about various events, including details such as dates, locations, pricing, and availability. This information is provided by event organizers, and we do not control or guarantee the accuracy, completeness, or timeliness of the event details.
- Event Changes: Events are subject to change or cancellation by the event organizers. We are not responsible for any modifications to event dates, times, locations, or cancellation.
10.Privacy and Data Collection
Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and store your personal data. Please review it carefully.
11.Third-Party Services
The App may include links to third-party websites, services, or content. We are not responsible for the content, privacy practices, or actions of these third-party sites. Use of third-party services is subject to their respective terms and policies.
12.Termination of Account
We reserve the right to suspend or terminate your account and access to the App at any time, without notice, for any reason, including but not limited to:
- Violation of these Terms and Conditions.
- Engaging in illegal or harmful activities.
- Extended inactivity or failure to comply with account requirements.
Upon termination, you will no longer have access to your account or any User Content associated with it. We may retain your data as required by law or for legitimate business purposes.
13.Disclaimers and Limitation of Liability
- No Warranty: The App is provided “as is” and “as available.” We do not guarantee that the App will be error-free, secure, or available at all times.
- Limitation of Liability: To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use or inability to use the App, including any loss of data or loss of profits.
- No Responsibility for Content: We are not responsible for any User Content or third-party content accessed through the App.
14.User Consent
The App may allow you to post or share content such as reviews, ratings, or feedback (“User Content”). By posting or sharing User Content, you grant us a non-exclusive, royalty-free, transferable license to use, modify, and distribute your content for the purposes of operating the App and promoting its services.
- User Responsibility: You are solely responsible for the content you post, and you agree not to post content that is unlawful, defamatory, harassing, or infringes on the intellectual property rights of others.
- Review and Ratings: When submitting reviews or ratings, you agree to provide honest, accurate, and relevant information. Fraudulent or misleading reviews will be removed.
15.Indemnification
You agree to indemnify, defend, and hold harmless Neaore Inc., its officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the App, violation of these Terms, or infringement of the rights of others.
16.Changes to the Terms
We reserve the right to modify or update these Terms and Conditions at any time. When changes are made, we will update the “Effective Date” at the top of this page. You are responsible for reviewing these Terms periodically to stay informed about any updates. Continued use of the App after such changes constitutes your acceptance of the revised Terms.
17.Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Canada. Any disputes arising from these Terms or your use of the App will be resolved through binding arbitration or, if necessary, in the competent courts of Canada.
18.Miscellaneous
- Entire Agreement: This Agreement constitutes the entire understanding between you and us regarding your use of the App.
- Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full effect.
- Waiver: Our failure to enforce any provision of these Terms does not waive our right to do so in the future.
